These Terms of Use ("Terms") govern your access to and use of the Kurate Application ("Application"), owned and operated by Force7 Labs Pte Ltd ("Force7", "we", "us", or "our"), a company incorporated in Singapore.
BY CLICKING THE "ACCEPT" BUTTON, LOGGING INTO, ACCESSING, OR OTHERWISE USING THE APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS, THE FORCE7 KURATE PRIVACY NOTICE, THE USER LEVEL CONSENT AGREEMENT (ULCA), AND ANY APPLICABLE POLICIES OF YOUR ORGANISATION.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE APPLICATION.
1.1 Authorised Users
The Application is intended solely for authorised users, including:
• Management personnel;
• Inventory Managers;
• Warehouse personnel;
• Operations Managers;
• Supply Chain personnel;
• Product Managers;
• Branch Managers;
• Sales Managers;
• Administrators;
• Employees, contractors, or agents authorised by the Customer Organisation.
1.2 Permitted Use
You may use the Application solely for authorised business purposes, including:
• Monitoring enterprise inventory;
• Managing inventory across warehouses and branches;
• Tracking inventory movement;
• Monitoring inventory health;
• Managing product allocations;
• Managing inventory reservations;
• Managing product releases;
• Tracking inventory ageing;
• Forecasting inventory requirements;
• Monitoring product demand;
• Monitoring salesperson product allocations and bookings;
• Generating operational and management reports;
• Supporting inventory planning and optimisation.
1.3 You must not:
• Use the Application for personal or unauthorised purposes;
• Share login credentials with unauthorised persons;
• Access inventory information beyond your authorised role;
• Continue using the Application after your access has been revoked.
2.1 You are responsible for:
• Maintaining the confidentiality of your login credentials;
• Protecting your device and authorised access;
• All activities performed under your account;
• Logging out where appropriate;
• Immediately reporting suspected unauthorised access or security incidents.
2.2 Force7 may suspend or terminate access where misuse, security risks, fraud, or legal or regulatory requirements arise.
You agree to use the Application only in compliance with:
• Applicable laws and regulations;
• Your organisation's operational policies;
• Force7's security, privacy, and acceptable use policies.
You shall:
• Maintain accurate inventory records;
• Update inventory movements promptly;
• Record product releases accurately;
• Record inventory allocations correctly;
• Use inventory reports only for authorised business purposes;
• Protect confidential operational information.
You shall not:
• Copy, download, extract, or disclose inventory or operational data outside authorised systems except where permitted;
• Manipulate inventory balances or stock records without authority;
• Falsify inventory movements or product releases;
• Circumvent approval workflows;
• Attempt to reverse engineer, modify, or tamper with the Application;
• Introduce malware or malicious code;
• Access information outside your assigned permissions;
• Use the Application for fraudulent, deceptive, unlawful, or unethical purposes
5.1
All inventory, operational, reporting, forecasting, product, reservation, allocation, dashboard, audit, and analytical information entered into or generated through the Application remains the property of the Customer Organisation.
Force7 acts solely as the technology platform provider and does not claim ownership of such information.
5.2
Users acknowledge that inventory information constitutes confidential commercial information and shall be accessed only for authorised business purposes.
5.3
Users must:
• Protect inventory information from unauthorised access;
• Maintain confidentiality of inventory reports;
• Secure exported reports and dashboards;
• Immediately report any suspected misuse, unauthorised disclosure, or data breach.
The Application enables authorised users to:
• Monitor inventory levels;
• Manage warehouse inventory;
• Monitor branch inventory;
• Reserve inventory;
• Release inventory;
• Allocate products;
• Track inventory transfers;
• Monitor inventory ageing;
• Analyse inventory health;
• Forecast future inventory requirements;
• Monitor product demand;
• Analyse inventory performance using AI-powered recommendations.
Users are responsible for verifying inventory changes before approval.
The Application may generate:
• Executive dashboards;
• Inventory health reports;
• Dead inventory reports;
• Product movement reports;
• Allocation reports;
• Reservation reports;
• Sales booking reports;
• Inventory forecasting reports;
• AI-generated operational insights.
Reports are generated from information entered by authorised users and integrated enterprise systems.
Force7 does not guarantee the accuracy of user-entered or third-party data.
Your use of the Application is subject to:
• Force7 Kurate Privacy Notice;
• Force7 Kurate User Level Consent Agreement (ULCA);
• Applicable organisational privacy and information security policies.
By using the Application, you consent to:
• Collection and processing of your Personal Data;
• Monitoring and logging of your activities;
• Audit logging;
• Security monitoring;
• Generation of operational analytics.
The Application may provide:
• Inventory health scores;
• Inventory ageing analysis;
• Dead inventory recommendations;
• Stock replenishment recommendations;
• Product allocation recommendations;
• Inventory optimisation recommendations;
• Demand forecasting;
• Executive operational dashboards.
These outputs are intended to assist decision-making and do not replace professional judgement.
Users remain responsible for validating business decisions before implementation.
All rights, title, and interest in the Application, including:
• Software;
• Source code;
• User interfaces;
• Dashboards;
• Reports;
• Documentation;
• AI functionality;
• Trademarks;
remain the exclusive property of Force7 or its licensors.
Nothing in these Terms grants ownership of Force7 intellectual property.
Force7 may:
• modify or improve the Application;
• introduce new functionality;
• discontinue obsolete functionality;
• perform scheduled maintenance;
• restrict access where necessary for operational, security, or legal reasons.
Force7 does not guarantee uninterrupted availability or error-free operation.
The Application may integrate with:
• ERP systems;
• Dealer Management Systems (DMS);
• Warehouse Management Systems (WMS);
• Supply Chain Management (SCM) systems;
• Inventory scanners;
• Analytics platforms;
• AI services;
• Enterprise APIs.
Your use of third-party services may be subject to separate terms imposed by those providers.
Force7 is not responsible for the availability, security, or performance of third-party systems.
Your use of the Application may involve the transfer or processing of Personal Data and Business Data across jurisdictions.
Force7 implements appropriate safeguards to protect such information in accordance with applicable data protection laws, including the Personal Data Protection Act 2012 of Singapore where applicable.
Force7 may suspend or terminate your access:
• if you violate these Terms;
• upon instruction from the Customer Organisation;
• for security or fraud prevention purposes;
• following termination of employment or changes to your role;
• where required by law.
Upon termination:
• you must immediately cease using the Application;
• access credentials may be disabled;
• information may be retained or deleted in accordance with applicable law and the Privacy Notice.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
FORCE7 DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, CONTINUOUS AVAILABILITY, ERROR-FREE OPERATION, OR THAT THE APPLICATION WILL ACHIEVE ANY PARTICULAR INVENTORY, SALES, OR BUSINESS OUTCOME.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
• Force7 shall not be liable for indirect, incidental, consequential, exemplary, or punitive damages;
• Force7 shall not be responsible for inventory discrepancies arising from inaccurate information entered by users, third-party integrations, operational decisions, forecasting assumptions, or actions taken based on AI-generated recommendations;
• Force7's total aggregate liability arising from these Terms or the use of the Application shall not exceed SGD 100.
You agree to indemnify, defend, and hold harmless Force7 against claims arising from:
• misuse of the Application;
• unauthorised disclosure of inventory information;
• manipulation of inventory records;
• breach of these Terms;
• violation of applicable laws or third-party rights.
Force7 agrees to indemnify you against claims arising from:
• Force7's gross negligence or wilful misconduct;
• Force7's breach of its obligations under the Privacy Notice;
• Force7's infringement of third-party intellectual property rights.
Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, cyberattacks, internet outages, telecommunications failures, governmental actions, or other force majeure events.
These Terms shall be governed by the laws of Singapore.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
Force7 may revise these Terms from time to time.
Material changes will be communicated through the Application or by email at least fourteen (14) days before taking effect, where practicable.
Continued use of the Application after the effective date of the revised Terms constitutes acceptance of those changes.
21.1 Entire Agreement: These Terms, together with the Privacy Notice and ULCA, constitute the entire agreement governing your use of the Application.
21.2 Severability: If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
21.3 Waiver: No failure or delay by either party to enforce any provision shall constitute a waiver of that provision.
21.4 Assignment: You may not assign these Terms without Force7's prior written consent. Force7 may assign these Terms in connection with a merger, acquisition, restructuring, financing, or sale of substantially all of its business or assets.
