These Terms & Conditions ("Terms") govern your access to and use of the Kineo Application ("App"), owned and operated by Force7 Labs Pte Ltd ("Force7", "we", "us", "our"), a company incorporated in Singapore.
BY CLICKING ON THE "ACCEPT" BUTTON AT THE END OF THE AGREEMENT ACCEPTANCE FORM, YOU AGREE TO HAVE READ AND BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THE PRIVACY POLICY. PLEASE READ THIS ENTIRE AGREEMENT CAREFULLY BEFORE ACCEPTING ITS TERMS. YOUR USAGE OF THIS APP SIGNIFIES YOUR ASSENT TO THE FOLLOWING BINDING AGREEMENT.
1.1 The App is intended only for authorised users, including employees, contractors, agents, or partners of Force7 and its clients.
1.2 You may use the App solely for:
• Sales engagement and lead management
• Customer interaction and product promotion
• Business-related activities authorised by your organisation
1.3 You must not:
• Use the App for personal or non-business purposes
• Share login credentials with any unauthorised person
• Access the App if your authorisation has been revoked
2.1 You are responsible for:
• Maintaining confidentiality of your login credentials
• All activities conducted under your account
2.2 You must immediately notify Force7 of:
• Any unauthorised access
• Suspected security breaches
2.3 Force7 reserves the right to:
• Suspend or terminate access in case of misuse or security risks
You agree to use the App only in compliance with:
• Applicable laws and regulations
• Your organisation's policies
• Force7's data protection and usage policies
You shall:
• Enter accurate and lawful data
• Use the App strictly for intended business purposes
You shall not:
• Copy, download, extract, or store data outside authorised systems
• Use the App to collect or process data unlawfully
• Attempt to reverse-engineer, modify, or tamper with the App
• Introduce malware, harmful code, or vulnerabilities
• Use the App to harass, mislead, or engage in unethical practices
5.1 As between you and Force7, you retain all ownership rights to the customer data and lead information you input into the App ("Your Data"). Force7 does not claim ownership over Your Data.
5.2 The App enables you to collect and process customer personal data. You acknowledge and agree that:
• You will only collect and input customer data where:
o Valid consent has been obtained; OR
o A lawful basis applies under applicable data protection laws
• You will use such data strictly for:
o Sales engagement
o Product promotion
o Related authorised business activities
5.3 You must:
• Protect all customer data from unauthorised access or disclosure
• Not misuse or share data outside authorised channels
• Immediately report any data breach or misuse to Force7
5.4 Upon termination of your account, you may request export of Your Data within [30] days, after which Force7 may delete or anonymise such data in accordance with the Privacy Policy.
6.1 Your use of the App is subject to:
• The Force7_Kineo_Privacy Policy
• Any applicable user consent agreements as may be provided to you separately
6.2 By using the App, you consent to:
• Collection and processing of your personal data as described in the Privacy Policy
• Monitoring and logging of your activities within the App for purposes of service improvement, security, and compliance
7.1 All rights, title, and interest in the App, including:
• Software
• Design
• Content
• Features
• Source code
are owned by Force7 and its licensors.
7.2 You shall not:
• Copy, reproduce, or distribute any part of the App
• Create derivative works
• Use Force7 intellectual property without permission
7.3 Nothing in these Terms grants you any right, title, or interest in Force7's intellectual property except the limited right to use the App as expressly set forth herein.
8.1 Force7 may:
• Modify, update, or discontinue features of the App
• Restrict access with reasonable notice where practicable, except in emergencies or security incidents
8.2 Force7 does not guarantee:
• Continuous or uninterrupted availability
• Error-free performance
9.1 The App may integrate with third-party services, including:
• Messaging platforms
• Financing systems
• External APIs
9.2 Force7 is not responsible for:
• Performance or availability of third-party services
• Data practices of such third parties
9.3 Your use of third-party services may be subject to separate terms and conditions imposed by such third parties.
Your use of the App may involve the transfer of data across jurisdictions.
Force7 ensures that:
• Appropriate safeguards are implemented
• Data is protected in accordance with applicable laws, including the Personal Data Protection Act 2012 of Singapore
11.1 Force7 may suspend or terminate your access:
• If you violate these Terms
• If required by your organisation
• For security or legal reasons
11.2 Upon termination:
• You must cease all use of the App
• You may request export of Your Data as set forth in Section 5.4
• Force7 may delete or anonymise Your Data after the applicable retention period
11.3 Sections that by their nature should survive termination (including but not limited to Sections 5, 7, 12, 13, 14, and 17) shall survive termination of these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. FORCE7 MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
13.1 IN NO EVENT SHALL FORCE7 BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, BUSINESS, OR PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF FORCE7 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 FORCE7'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED SGD 100.
13.3 THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
14.1 You agree to indemnify, defend, and hold harmless Force7 against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or related to:
• Your misuse of the App
• Your breach of these Terms
• Your unlawful handling of customer data
• Your violation of any applicable laws or third-party rights
14.2 Force7 agrees to indemnify, defend, and hold harmless you against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or related to:
• Force7's gross negligence or wilful misconduct
• Force7's breach of its data protection obligations under the Privacy Policy
• Force7's infringement of any third-party intellectual property rights
Neither party shall be liable for any delay or failure to perform its obligations under these Terms (other than payment obligations) if such delay or failure arises from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, internet outages, or cyberattacks.
16.1 These Terms shall be governed by the laws of Singapore.
16.2 Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts of Singapore. The parties agree to submit to the exclusive jurisdiction of the Singapore courts.
Force7 may update these Terms from time to time. Material changes will be communicated to you via the App or by email at least [14] days in advance. Continued use of the App after the effective date of such changes constitutes acceptance of the updated Terms.
18.1 Entire Agreement: These Terms, together with the Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and Force7 regarding your use of the App and supersede all prior or contemporaneous communications, whether oral or written.
18.2 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
18.3 Waiver: No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right or any other right.
18.4 Assignment: You may not assign or transfer these Terms or any of your rights or obligations hereunder without Force7's prior written consent. Force7 may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
